COVER AND PROMOTIONAL USE LICENSE AGREEMENT

THE PARTIES AGREE AS FOLLOWS:

SECTION 1 - BACKGROUND

1.1 The Music Producer is the owner of the exclusive rights to the sound recordings ("Recordings") and associated intellectual property rights, including mechanical rights and neighboring rights.

1.2 The Licensee wishes to use one or more Recordings to create and publish a video performance for artistic or promotional purposes.

1.3 The Music Producer agrees to grant the Licensee a license for this purpose under the terms below.

SECTION 2 - GRANT OF LICENSE

2.1 Subject to the terms and conditions of this Agreement, the Music Producer grants the Licensee a non-exclusive, non-transferable license to use the Recordings for

  • a full-length cover video on YouTube (monetized or not);
  • short videos of up to 60 seconds on YouTube and other platforms such as Facebook, Instagram, or TikTok. These shorter videos may be independent edits and need not derive directly from the YouTube version, but cannot be monetized;

2.2 The Recordings that are licensed under this Agreement are listed in Exhibit A attached hereto.

2.3 The license is valid worldwide and for an indefinite period, provided that the videos remain online in their original form and are used only as described in this Agreement.

2.4 The license does not authorize use in commercial advertising, television, film, or other third-party productions. Such synchronization uses are handled by the Music Producer’s distributor, CD Baby.

SECTION 3 - PAYMENT

3.1 The Licensee agrees to pay a one-time fee of €35 per Recording.

3.2 The Licensee agrees to pay the fee in euros as set forth in this Agreement through the Music Producer's PayPal.Me account at "www.paypal.me/thesoundofopera" and include the license number in the payment description.

3.3 Payment in full must be made before publication and constitutes acceptance of this Agreement.

SECTION 4 - TERMS AND CONDITIONS

4.1 The Licensee must use a legal copy of each Recording purchased from Apple iTunes. Downloading from YouTube or other sources is not permitted.

4.2 A cover is the Licensee (optionally with other singers) performing the vocal part(s) over the original backing track in a traditional operatic style. Adding other instruments, re-orchestrating, or manipulating the backing track beyond minor technical adjustments is not allowed. Purely instrumental “covers” are not permitted.

4.3 Credit: The Licensee must include the following credit both in the Video (on-screen) and in the description: “Backing track(s) by Aberforth D, www.thesoundofopera.com”

4.4 The Licensee may not sublicense, transfer, share, or distribute the Recording(s) or any isolated stems or derivative audio.

4.5 The Licensee shall provide the Music Producer with a link to each published video upon or shortly after publication.

4.6 All rights not expressly granted are reserved by the Music Producer.

SECTION 5 - MISCELLANEOUS

5.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

5.2 Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce.
